Terms of Service

These Terms of Service ("Terms") govern your use of the Sovereign Shelf platform, website, and hardware products provided by Sovereign Shelf Inc. ("Sovereign Shelf," "we," "us"). By creating an account, placing an order, or using our services, you agree to these Terms.

1. Service Description

Sovereign Shelf provides electronic shelf label (ESL) management software and hardware across three deployment tiers:

  • Sentinel — Cloud-hosted platform with monthly or annual subscription
  • Guardian — Hybrid cloud and on-premises platform with monthly or annual subscription
  • Vault — Air-gapped on-premises platform with one-time hardware purchase and optional support contract

Service availability, features, and support levels vary by tier as described on our website and in your order confirmation.

2. Account & Eligibility

You must be at least 18 years old and authorized to bind the business entity you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.

3. Hardware Purchases

ESL tags and accessories are sold as final equipment purchases. Beacons (wireless access points) and Commanders (on-premises compute units) are sold as equipment purchases and may require active subscriptions or support contracts for continued software updates.

Warranty: Hardware is warranted against manufacturing defects for 12 months from the date of delivery. This warranty does not cover damage from misuse, modification, power surges, or environmental conditions outside published specifications. Defective units will be replaced or repaired at our discretion.

Shipping: Hardware ships from Alberta, Canada. Shipping costs and estimated delivery times are displayed at checkout. Risk of loss passes to you upon delivery to the carrier.

4. Returns & Refunds

Tags and accessories: Unused, unopened items may be returned within 30 days of delivery for a full refund. Buyer pays return shipping.

Beacons: May be returned within 30 days if unused and in original packaging. A 15% restocking fee applies.

Commanders: Commanders are built to order and pre-configured for your organization. Returns are accepted within 14 days of delivery only if the unit is defective. Custom configuration is non-refundable.

Subscriptions: See Section 5 below.

5. Subscriptions & Billing

Billing: Subscriptions are billed monthly or annually in Canadian dollars (CAD) as selected at purchase. Payment is processed via Stripe. You authorize recurring charges at the selected interval.

Price changes: We may adjust subscription pricing with 30 days written notice. Price changes take effect at your next billing cycle.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial billing periods. Annual subscriptions cancelled mid-term receive no prorated refund.

Non-payment: If payment fails, we will attempt to collect for up to 14 days. If payment remains unsuccessful, your account will be suspended. Data is retained for 90 days after suspension, after which it may be deleted.

6. Data Ownership & Portability

You retain full ownership of all business data (product names, prices, SKUs, templates, tag assignments) stored on the platform. We claim no intellectual property rights over your data.

Export: You may request a complete export of your data at any time in standard formats (CSV, JSON). Upon cancellation, we will provide a data export upon request within 30 days.

Vault tier: All business data resides on your Commander hardware. No export request is necessary — you already possess the data.

7. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose
  • Attempt to reverse-engineer, decompile, or extract source code from the software
  • Interfere with or disrupt the platform, network, or other users
  • Resell access to the platform without a written reseller agreement
  • Transmit malicious code or exploit vulnerabilities

We reserve the right to suspend accounts that violate these terms.

8. Intellectual Property

Sovereign Shelf software, firmware, documentation, branding, and website content are the intellectual property of Sovereign Shelf Inc. Your subscription or purchase grants a non-exclusive, non-transferable license to use the software for your business operations. This license terminates when your subscription ends or your account is closed.

9. Service Availability & Support

Uptime: We aim for high availability of our cloud services but do not guarantee specific uptime percentages. Scheduled maintenance will be communicated in advance when possible.

Support response times: Sentinel tier: 48 business hours. Guardian tier: 24 business hours. Vault tier: email support only, no SLA. Support covers platform usage, connectivity troubleshooting, and hardware defect assessment. It does not cover customer network configuration, third-party integrations, or data entry.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Sovereign Shelf is not liable for pricing errors displayed on shelf labels resulting from incorrect source data, network outages, or hardware failures beyond our control
  • We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption
  • Our total aggregate liability for any claims arising from these Terms or your use of the platform is limited to the fees you paid to Sovereign Shelf in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold Sovereign Shelf harmless from claims, damages, or expenses arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms are governed by the laws of the Province of Alberta, Canada. Any disputes will be resolved in the courts of Alberta. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to active account holders at least 30 days before taking effect. Continued use of the platform after changes take effect constitutes acceptance.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
